Kardex Nennwertrückzahlung von CHF 2,50 je Aktie und Umwandlung der Inhaberaktien in Namenaktien

Volketswil (aktiencheck.de AG) - Die 31. ordentliche Generalversammlung der Kardex AG (ISIN CH0018263415 / WKN A0B5H8) vom 21. April 2009 ist den Anträgen des Verwaltungsrats zur Nennwertrückzahlung von CHF 2,50 je Aktie anstelle einer Dividendenzahlung und zur Umwandlung der Inhaberaktien in Namenaktien gefolgt. Die in der Einladung zur Generalversammlung publizierten Anträge zur Einführung einer Stimmrechtsbeschränkung auf 5% und zur Aufhebung der Opting-up-Klausel wurden vom Verwaltungsrat zurückgezogen, dies aufgrund von Gesprächen mit großen Aktionären und institutionellen Anlegern in den vergangenen Tagen. Außerdem bestätigte die Generalversammlung Walter T. Vogel für eine weitere Dreijahresperiode als Verwaltungsrat.
Nach der Kapitalherabsetzung, die nach der Eintragung ins Handelsregister voraussichtlich im Juli 2009 erfolgt, beträgt das Aktienkapital der Kardex AG CHF 61 901 983, eingeteilt in 5 627 453 Aktien mit einem Nennwert von je CHF 11.
